Subscription, Billing & Refund Policy

Enterprise-grade subscription governance, billing procedures, payment processing, refund limitations, and commercial terms applicable to the Ask Khadim CRM SaaS platform.

4.1 Purpose

This Subscription, Billing & Refund Policy governs the subscription structure, payment obligations, billing practices, renewal procedures, trial access conditions, refund limitations, taxation responsibilities, and related commercial terms applicable to the use of the Ask Khadim platform operated by Khadim Consultants Private Limited.

This policy is intended to establish transparent commercial practices while protecting the operational, financial, and infrastructure interests of the Company and maintaining fair usage standards across the multi-tenant SaaS environment.

Important: Continued use of the platform constitutes acceptance of the latest subscription, billing, refund, and commercial policies published by Ask Khadim.

4.2 Subscription Plans

The Company may offer multiple subscription plans, service tiers, modules, feature packages, or enterprise arrangements, including but not limited to:

  • Trial Plans
  • Basic Subscriptions
  • Standard Subscriptions
  • Enterprise Subscriptions
  • Add-on Modules
  • API Access Plans
  • White-label or custom enterprise deployments
  • Custom negotiated agreements

Subscription features, usage limits, module availability, AI functionality, storage allocations, user limits, support levels, API access, infrastructure resources, and service capabilities may vary depending on the selected subscription plan or enterprise agreement.

The Company reserves the right to modify, discontinue, upgrade, or restructure subscription plans, features, pricing models, or packaging at its discretion, subject to commercially reasonable notice where applicable.

4.3 Subscription Billing

Subscriptions may be billed:

  • Monthly
  • Quarterly
  • Semi-annually
  • Annually
  • Multi-year enterprise contractually
  • Under custom enterprise agreements
  • Through negotiated commercial arrangements

Unless otherwise agreed in writing:

  • Payments must be completed before service activation
  • Subscription fees are payable in advance
  • Access to paid features may depend on successful payment processing
  • Services may remain inactive until payment verification is completed

Customers authorize the Company and its payment processors to charge applicable subscription fees, taxes, recurring charges, overage fees, add-on charges, or other authorized service-related costs associated with the customer account.

The Company reserves the right to use third-party payment gateways, billing processors, invoicing systems, subscription management providers, or financial service vendors.

4.4 Enterprise Contracts & Custom Commercial Terms

Enterprise customers may enter into separately negotiated agreements that may define:

  • Custom pricing structures
  • Dedicated infrastructure arrangements
  • Multi-year commitments
  • Volume licensing
  • Custom onboarding services
  • Additional compliance requirements
  • Enterprise SLA commitments
  • Dedicated support arrangements
  • Specialized billing terms
  • Procurement or invoicing procedures

Where a signed enterprise agreement conflicts with this general policy, the executed enterprise agreement shall prevail solely for the applicable enterprise customer.

4.5 Trial Plans

The Company may provide free trials, promotional access, beta access, proof-of-concept environments, evaluation periods, or limited-access subscriptions at its sole discretion.

  • API limitations
  • Usage caps

  • Separate enterprise conditions
Notice: Trial environments may not be suitable for production use, business-critical operations, regulated activities, or long-term data retention purposes.

4.6 Subscription Activation & Provisioning

Service activation timelines may vary depending on:

  • Payment confirmation
  • Infrastructure provisioning
  • Identity verification
  • Enterprise onboarding requirements
  • Compliance reviews
  • Manual approval processes
  • Technical deployment requirements

The Company does not guarantee immediate activation for all subscription types, particularly for enterprise, customized, or infrastructure-intensive deployments.

4.7 Auto Renewal

Unless otherwise stated in writing, subscriptions may automatically renew at the end of the applicable billing cycle using the payment method associated with the customer account.

By maintaining an active subscription, customers authorize recurring billing for:

  • Subscription renewals
  • Add-on services
  • Usage-based charges
  • Applicable taxes and governmental charges

Customers remain responsible for:

  • Reviewing renewal dates
  • Maintaining valid payment methods
  • Managing subscription cancellations
  • Monitoring billing activities

4.8 Pricing Changes

The Company reserves the right to revise:

  • Subscription pricing
  • Billing structures
  • Feature packaging
  • Storage allocations
  • AI usage limits
  • API pricing
  • Support fees
  • Infrastructure-related costs

Commercially reasonable notice may be provided before material pricing changes become effective for active subscriptions where operationally feasible.

4.9 Payment Failures & Delinquent Accounts

Failure to complete payment obligations may result in:

  • Service suspension
  • Restricted access
  • Login limitations
  • API deactivation
  • Administrative access removal
  • Downgrade of features
  • Temporary account holds
  • Cancellation of services
  • Account termination
  • Data archival
  • Delayed data access
  • Permanent deletion after applicable retention periods

4.10 Refund Policy

Unless otherwise expressly stated in writing:

  • Subscription fees are non-refundable
  • Setup fees are non-refundable
  • Onboarding fees are non-refundable
  • Custom development charges are non-refundable
  • Partial billing periods are not eligible for refunds
  • Unused subscription periods are not refundable
  • Downgrades do not automatically generate refunds
  • Promotional or discounted subscriptions may be non-refundable
  • Infrastructure provisioning costs may be non-refundable
Refund Notice: Refund eligibility, if any, shall be determined solely at the Company’s discretion.

4.11 Chargebacks & Payment Disputes

Customers agree not to initiate unjustified chargebacks, payment reversals, or payment disputes without first attempting resolution through official support channels.

4.12 Taxes & Government Charges

Applicable taxes, duties, levies, GST, VAT, withholding taxes, digital service taxes, or governmental charges may apply depending on:

  • Applicable tax laws
  • Regulatory obligations
  • Payment method
  • Business classification

4.13 Currency & International Payments

Subscription pricing may be displayed or processed in one or more currencies depending on operational, geographic, or payment provider considerations.

  • Foreign exchange fees
  • Banking charges
  • Cross-border transfer costs
  • Currency conversion fluctuations
  • International transaction fees

4.14 Suspension Due to Billing Risks

The Company reserves the right to suspend or restrict accounts associated with:

  • Suspected fraudulent payments
  • Unauthorized payment methods
  • High-risk financial activity
  • Compliance concerns
  • Sanctions restrictions
  • Regulatory investigations
  • Repeated failed transactions

4.15 Customer Data After Expiration or Termination

Upon expiration, cancellation, or termination of subscriptions:

  • Access to Services may cease
  • Data access may become restricted
  • Administrative features may be disabled
  • APIs may stop functioning
  • Archived backups may remain temporarily stored
  • Data deletion schedules may apply according to retention policies

4.16 Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for:

  • Billing interruptions
  • Payment processing failures
  • Subscription expiration consequences
  • Currency fluctuations
  • Banking delays
  • Financial institution failures
  • Loss of business due to suspension
  • Data inaccessibility after termination
  • Indirect or consequential damages

4.17 Policy Updates

The Company reserves the right to update or modify this Subscription, Billing & Refund Policy periodically to reflect changes in:

  • Pricing structures
  • Operational practices
  • Infrastructure requirements
  • Financial regulations
  • Tax laws
  • Subscription models
  • Payment technologies
